1. When was the Nordea Group established?
- The Nordea Group was established in 2000 but derives its origin from banks and insurance companies from the Nordic region as far back as the early 19th century. The first cross-border merger took place in 1997, when the Finnish Merita Bank and the Swedish Nordbanken formed MeritaNordbanken. The merger of MeritaNordbanken and Danish Unidanmark in 2000 was followed by the acquisition of the Norwegian bank Christiania Bank og Kreditkasse to create the largest financial institution in the Nordic area. During 2001 Nordea has acquired Swedish Postgirot Bank. Since 3 December 2001 the entire Group is operating under the Nordea brand.

- The General Meeting on 3 April 2008 decided to authorise the Board, for a maximum time period extending until the next Annual General Meeting, to decide on the acquisition of shares in the bank on stock exchanges where the shares are listed, or according to acquisition offers to all of the bank's shareholders. Total acquisitions may amount to 10% of all of the shares in the bank. The aim of the acquisition is to convey back funds to the bank's shareholders. Through the repurchase programme a long-term increase in the earnings per share is made possible.

7. What accounting principles does Nordea adhere to?
Nordea's consolidated financial statements are prepared in accordance with International Financial Reporting Standards (IFRS) as endorsed by the EU. Additional disclosure requirements in accordance with the Swedish Act on Annual Accounts of Credit Institutions and Securities Companies (1995:1559) (ÅRKL) and the recommendation RR30 "Supplementary Rules for Consolidated Financial Statements" of the Swedish Financial Accounting Standards Council (RR) have further been applied.
On 28 February 2006 the Board of Directors approved the financial statements, subject to final approval of the Annual General Meeting 5 April 2006.
The separate financial statements of the parent company, Nordea Bank AB (publ), are prepared in accordance with Swedish regulatory requirements and FFFS 2005:33. The section "Parent company", p. 71 in the Annual Report 2005, further describes the principles applied and how they deviate from IFRS standards.
The standard IFRS 7 Financial instruments: Disclosures was endorsed by the EU in January 2006. However, Nordea has chosen to apply this standard already in the accounts for 2005 as the endorsement took place before the annual report was issued.

Annual General Meeting
1. When and where will the next Annual General Meeting (AGM) take place?
2. How can I register for the AGM?
- All details of the registration procedure will be published 4-6 weeks prior to the AGM in the formal notice of the AGM. The notice will be published in newspapers in Sweden, Denmark and Finland and on the Internet. Registration can be made by telephone, post, fax and on the Internet as from the day of the publication of the notice.

3. How do I exercise my voting rights in case I am not present at the AGM?
- The shareholder may appoint a representative by proxy to exercise the shareholder's voting rights at the AGM. The representative has to present a power of attorney in original, at the latest at the AGM. The power of attorney may not be issued earlier than one year before the AGM.

- The latest AGM was held on 13 April 2007 in Aula Magna at Stockholm University in Stockholm. Shareholders also participated from Finlandia Hall in Helsinki and the Bella Center in Copenhagen.

- Nordea pursues a policy of high dividends. The total dividend payment will normally exceed 40% of the net profit for the year. Nordea will ensure competitive and predictable dividends.

- The currency for payment of dividend depends on the country of registration of the shares. In Sweden, shareholders can choose between a dividend in SEK or in EUR provided that the shareholder has a EUR account with their custody bank. An official exchange rate is published. In Denmark dividend is paid in EUR. If the shareholder doesn’t have a EUR account the dividend is converted into local currency. Each custody institute decides their own conversion rate. In Finland the dividend is paid in EUR.
