About General Meetings

The General Meeting is the Company’s highest decision-making body, at which the shareholders exercise their voting rights. At the General Meeting decisions are taken regarding matters such as the annual accounts, dividend, election of the Board of Directors and the auditor as well as their remuneration.

General Meetings are held in Helsinki.

The Annual General Meeting is held yearly before the end of May.

Every shareholder has the right to attend the General Meeting and propose matters to be dealt with at the General Meeting. The last date to make such a proposal to the Board of Directors will be announced on this website at the latest on 31 December.

A shareholder who is present at the General Meeting has the right to request information on matters to be considered at the meeting.

The notice convening a General Meeting is issued to shareholders on this website not earlier than three months prior to and not later than three weeks prior to the General Meeting. Decisions at the General Meeting are made by simple majority of votes, unless other majority requirements are set out in the Finnish Companies Act.

Voting rights

Each share in Nordea entitles to one vote. At General Meetings, each shareholder is entitled to vote for the full number of shares that he or she owns or represents. Nordea is not entitled to vote for its own shares at General Meetings.

 

Nomination Process 

Nordea Bank Abp’s Shareholders’ Nomination Board presents proposals to the Annual General Meeting concerning election of members of the Board of Directors, the Chair of the Board of Directors, the remuneration to the board members and other tasks assigned in its Charter.
