Nordea announces results and early participation levels for consent solicitations
Nordea Bank AB (publ) announces results and early participation levels in the consent solicitations for outstanding capital instruments listed in the early results notices presented in the following links:
The consent solicitations invited to consent to certain modifications of the terms and conditions in connection with the proposed re-domiciliation of Nordea Bank AB (publ) from Sweden to Finland, and certain other modifications of the terms and conditions.
As at the consent fee deadline on 17 November 2017, instructions had been received in favour of the relevant resolution from holders representing at least two thirds of the outstanding principal amount of each series of the relevant notes issued under the GMTN programme (5 Additional Tier 1 notes), and of each series of the relevant notes issued under the US MTN programme (2 USD Tier 2 notes).
Each resolution has therefore been validly approved by holders of each series of GMTN notes and US MTN notes set out in the notices.
In relation to the relevant notes issued under the EMTN programme, based on instructions received, Nordea expects that all bondholder meetings will be quorate and that the relevant extraordinary resolutions will be approved (7 Tier 2 notes).
